A data room for Seedcamp fundraising has to be finished before the first call, because Seedcamp tries to run the whole process in two weeks. Papermark is a secure, fully customizable, and developer-friendly data room for modern dealmakers. This guide covers the 18 documents, the first-cheque range Seedcamp publishes, and the partner meeting those files are there to support.

Quick recap

  • A data room for Seedcamp fundraising is about 18 documents in 5 folders, ready before you take the first meeting. The process is built to be short.
  • Seedcamp says its first cheque is usually between $350,000 and $1.25 million. It wants to be the first institutional backer, from pre-product through early revenue.
  • If you have already raised more than a couple of million dollars, Seedcamp says it is probably not the right first cheque, unless you are already in the portfolio. Follow-on is a different vehicle, the Select fund, from Series B onward.
  • The process they describe: a first call, sometimes a second, questions over WhatsApp or email, then a 45-minute pitch with the full team. They aim to finish end to end within two weeks of meeting you.
  • The team is seven people, all involved, not a single partner who disappears. The data room is what the other six read between the first call and that 45 minutes.
  • For rounds it leads, Seedcamp uses documents based on Seedsummit terms, including a standard pre-seed advance subscription agreement. It will also do equity. It typically takes a board observer seat, not a board seat, until at least the next round or the Series A.
  • Focus is Europe and Israel, plus companies with a European angle. A US team in New York and on the West Coast is for hiring and customer introductions, not a second Seedcamp.
  • Papermark is not affiliated with Seedcamp. A tracked deck is €0. Full data rooms start at €99/month.

Two weeks is not much time to assemble a company. Founders who start the data room when Seedcamp asks for it spend the partner meeting apologizing for missing files. Founders who start it before the first call spend the meeting on the business.

1. What a data room for Seedcamp fundraising is

A data room for Seedcamp fundraising is the reading packet for a small team that will decide quickly. Seedcamp describes itself as a collective of seven, with nearly two decades and more than 550 company journeys behind it. After a first call, the rest of that team needs to get through your company without booking you for another hour.

It is not a virtual data room for an acquisition, and it is not a demo-day blast. There is no batch week where forty funds open the same link. There is a 45-minute conversation with the full team, and the files have to answer what that conversation will not have time to cover.

Seedcamp says it hates wasting a founder's time, which is why the process is short. The matching behavior on your side is a room that is already true. A number that changes between the call and the partner meeting costs you the only advantage the timeline gives you.

2. How Seedcamp fundraising runs

You start with a call with one or more of the team. They may add a colleague or send questions on WhatsApp or email. If it fits, you get 45 minutes with everyone. They describe that meeting as conversational: they want to know you, and they want their last questions answered. They aim to be done within two weeks of the first meeting.

The cheque, if it comes, is a first cheque. Seedcamp says it is usually between $350,000 and $1.25 million. They like to lead or co-lead and to build a syndicate with angels rather than take the whole round. For a round they lead, the documents are based on Seedsummit terms, and they publish a standard pre-seed advance subscription agreement. They will use a convertible or equity, whichever fits. If they cannot lead a larger round, the lead's documents govern.

They do not take a board seat. They typically take a board observer role until at least the next round or the Series A. The data room is part of how that observer stays informed later, but the first job is the two-week decision.

If you have raised more than a couple of million already, this is the wrong door. Say so early. The Select fund is for existing portfolio companies going into Series B and beyond, not for a new team that is already past a first cheque.

Follow-upAnother colleague, or WhatsApp and emailThe file that answers the question, not a new version of the model

CloseAim: within 2 weeks of meetingSeedsummit-style ASA or the structure you agreed

Geography is part of the fit. Seedcamp focuses on companies in Europe and Israel, or with a clear European angle. The US presence is there to help those companies hire and sell, which is a reason your room should be readable by someone who was not on the first call.

3. Eighteen documents, and why each one is in the room

Deck and company. The current deck, a one-pager, incorporation, and a cap table that shows every angel and SAFE already in. Seedcamp is often not the only name. Hiding a small SAFE to make the round look cleaner is how a two-week process becomes a four-week argument.

Product. A roadmap for the next 2 to 4 quarters, a short architecture or product note, and a demo link. Pre-product is acceptable. Seedcamp says it backs companies from pre-product to early revenue. Label which one you are.

Traction or evidence. If you have revenue, monthly figures and a cohort or retention export. If you do not, design-partner notes and what they agreed to do. Do not convert a friendly conversation into "pipeline" without a name and a status.

Financials. Monthly burn since you started spending, cash in the bank, and a 12-month view of what this cheque does. A first cheque of $350,000 and a first cheque of $1.25 million are different companies. The use-of-funds page should say which conversation you are actually in, or show both as scenarios without pretending you have been offered either.

Legal, light. IP assignments, any existing SAFEs, and the employment or contractor template if people are already being paid. This is not a Series A legal room. It is enough that a lawyer can start from something real if you get to documents. Seedcamp's ASA is their paper when they lead. Have your cap table ready to drop into it. You do not need to negotiate the ASA inside the data room before they have decided to invest.

Data room for Seedcamp fundraising with company, product, evidence, financial, and legal folders

Eighteen files, ready before the first call, because the partner meeting is 45 minutes and the process aims to end in two weeks.

A data room for Antler fundraising is for a residency that may not invest. Seedcamp's process is a fund decision, aimed at two weeks, with a published cheque range rather than a program seat. The startup data room checklist is the generic version of these 18 files.

4. What the other six people read

You meet one person first. The data room is for the colleagues who were not on that call and who will sit in the 45 minutes. Send the deck before the first call if they ask. Send the full link after the call, not before, unless they request it. A full room dumped on a cold intro wastes the thing Seedcamp is fastest at, which is a quick no.

Watermark the full link. Turn download off on the cap table and the financials. Expire it if the process ends in a no. Two weeks is short, and an open link after a pass is still your burn rate in someone else's inbox.

5. Worked scenario: a European team inside two weeks

Kite is a hypothetical company in Berlin, pre-seed, with €22,000 in monthly revenue and two angels already on a SAFE. They want Seedcamp to lead. They build the 18 files on a Sunday, before emailing anyone. The deck and the model both say €22,000. The cap table includes both angels.

Tuesday is the first call. Wednesday, a second team member asks for retention. The export is already in the evidence folder, so the reply is a link to that file, not a new spreadsheet with a different definition. The following Tuesday is the 45-minute pitch with the full team. Nobody is seeing the numbers for the first time.

They do not get a term sheet in the scenario's first week. They do get a clear question on the use of funds: a $350,000 cheque and a $1 million cheque were both written as if they were the plan. Kite deletes one and leaves a single 12-month plan at $600,000, inside the published range, with the hires named. That is a document change, and it is in the room before the follow-up, so the seven people are not each holding a different version.

6. What breaks a two-week process

A deck and a model that disagree. There is no second month in which to fix it. Seedcamp's timeline makes the inconsistency obvious, because several people read the files on the same day.

A cap table that omits the angels. They will be in the ASA schedule later. Better they are in the room now.

Two use-of-funds plans, so every reader picks a different round size. Pick the cheque you want inside the $350,000 to $1.25 million range and defend that one.

Sending the full room to every angel you hope will join the syndicate, before Seedcamp has decided to lead. If they pass, you have already distributed the burn file.

7. Data room for your Seedcamp fundraise

A data room for your Seedcamp fundraise is 18 files that do not change under people. Papermark is a secure, fully customizable, and developer-friendly data room for modern dealmakers, with page-by-page analytics, dynamic watermarking, unlimited data room visitors, and transparent pricing (open-source and self-hosting available). One update is visible to the whole team. Six email attachments are not.

Papermark data room prepared before a Seedcamp partner meeting

Five folders, sent after the first call, in time for a 45-minute meeting with the full team.

Why the room has to exist first

Seven people read asynchronously. The colleague who was not on the call is your real diligence. Page-by-page analytics show whether they opened retention or only the deck, which tells you what the 45 minutes will be about.

Two weeks leaves no rebuild. If the use of funds is wrong, you fix the file in the room. You do not send "v7" to a subset of the team.

The observer seat comes later. Seedcamp typically wants information rights as a board observer through the next round. A room you can re-open, with a fresh link, is how you do that without a permanent open folder.

Syndicate links are a third door. Angels get their own link if Seedcamp leads. They do not get the thread where you answered internal questions.

Step 1: build the five folders before you email

Eighteen files, dates in the names, one revenue number everywhere. Automatic file indexing on Data Rooms Plus keeps the index honest when you add the retention export on Wednesday.

After the first call, the full link has email verification, dynamic watermarking, and granular permissions with download off on financials and the cap table. No account required.

The full link goes out after the call, not with the cold email.

Step 3: brand it like a company they can back

Custom domain, your logo, one sentence on what the reader is looking at. That is on the Data Rooms plan. Details are on custom branding.

A two-week process still notices what the link looks like.

Revoke nothing important. Copy the scope. Angels see the company, not the internal Q&A. When the round closes, data room freeze stores the record, and you keep the room for the observer updates Seedcamp will want until the next round.

We raised €1.5M from private investors over a nine-month campaign, and the data room is still the room we report out of. It's worth paying for good data room and not have the headache.

What it costs

The deck is free. The room is €99/month on the Data Rooms plan, with a 7-day trial, 3 team members, unlimited data room visitors, and the public API, CLI, and MCP server. Plus at €249/month adds the audit log and Q&A, useful when questions arrive on WhatsApp and you would rather answer them once in the room. AI redaction is Premium at €549/month and Unlimited at €999/month only.
